If you (“User” or “you”) read and accept these OUT Terms and Conditions (“Terms”), you may participate in a promotional campaign offered by one of the companies of the Xsolla family (“Xsolla” or “us” or “we”), gain access to and use of the OUT site https://x.la/out-rewards (“Site”), where registered Users can receive promotional item (“Reward”) following the purchase of our designated NFTs on crypto.com (“OUT NFT”). By registering on the Site, connecting your third-party crypto-wallets, and participating in our promotional campaign, you agree to be bound by these Terms set forth herein and to the provisions of Xsolla Mall Terms of Use to the extent that it does not conflict with the Terms.

1. Acceptance of Terms

By agreeing to these Terms, you represent and warrant that:

  • You are at least 18 years old or the age of majority where you live;
  • You have the full right, power, and authority to agree to these Terms;
  • You are not subject to any financial sanctions, embargoes or other restrictive measures imposed by the United Nations, European Union, any EU country, UK Treasury or US Office of Foreign Assets Control (OFAC), or any governmental authority in any jurisdiction in which Xsolla Mall is available;
  • You have read, understood, and agreed to our Privacy Policy.

We reserve the right to suspend or terminate any account that violates the above restrictions or attempts to misrepresent the User’s age.

2. Eligibility of Participation

    2.1.
  • To participate in the promotional campaign, you must purchase designated OUT NFT exclusively on crypto.com. Primary and secondary purchases are eligible.
    • 2.2.
  • Users are required to register an Xsolla Wallet and connect their crypto-wallet to be eligible to receive Reward. Please learn more about Xsolla Wallet here.
    • 2.3.
  • To be eligible, you must hold at least one OUT NFT in your crypto-wallet connected to the Xsolla Wallet on the date specified in section 4.
    • 2.4.
  • Only Users who have completed the above steps and adhere to these Terms will be eligible for the Reward.
    • 2.5.
  • You can join the promotional campaign at any time during the promotional period effective from October 7, 2024 09:00 AM PT to April 1, 2025 09:00 AM PT.
    • 2.6.
  • Upon joining, you are entitled to claim Rewards monthly, corresponding to their eligibility based on the snapshot requirements of each month.
    • 2.7.
  • Each Reward can only be claimed once a month by clicking the “Claim” button available on the Site. Users can claim their Reward within the designated month only. If you fail to click the “Claim” button within the specific month (e.g., forget to claim in March and return in April), you will not be eligible to retroactively claim the reward for the missed month.
    • 2.8.
  • Users joining the campaign in the middle of the promotional period are only eligible to claim rewards from the month of joining onwards. Rewards for previous months will not be available.

3. NFT Sales and Transactions

    3.1.
  • What is an NFT?
    A Non-fungible token (“NFT”) means a blockchain-based token complying with the ERC-721 or ERC-1155 standard or other similar “non-fungible” token standard. The intention of an NFT is to be “non-fungible”, i.e. a token that represents a unique digital asset; however, certain NFTs may be fungible with one another (i.e., all such NFTs are associated with the same digital asset metadata) while being non-fungible with other NFTs (i.e., such NFTs are associated with different digital asset metadata).
    • 3.2.
  • All OUT NFT sales are processed exclusively by crypto.com. The Site is not involved in the transaction process and will not be responsible for the execution of OUT NFT sales or transfers.
    • 3.3.
  • Users should refer to the crypto.com Terms and Conditions for any queries related to OUT NFT sales, purchases, or transactional processes.

4. Rewards Schedule

    4.1.

  • Eligible Users will receive the following items according to the schedule (“Snapshot date”):

    October 2024:

    • Free Digital book - “Once Upon Tomorrow” by Shurick Agapitov. Eligible if you hold any OUT NFT from the designated collection in your wallet on October 7, 2024, at 9:00 AM PT.

    November 2024:

    • 100 free Orbs for Story3. Eligible if you hold any OUT NFT from the designated collection in your wallet on November 1, 2024, at 9:00 AM PT.

    December 2024:

    • Free Audiobook - “Once Upon Tomorrow” by Shurick Agapitov. Eligible if you hold any OUT NFT from the designated collection in your wallet on December 1, 2024, at 9:00 AM PT.

    January 2025:

    • Free Physical book - “Once Upon Tomorrow” by Shurick Agapitov. Eligible if you hold any OUT NFT from the designated collection in your wallet on January 1, 2025, at 9:00 AM PT.
    Note: Users may be responsible for shipping costs and applicable taxes. Delivery subject to regional limitations.

    February 2025:

    • Special digital photo album from Shurick Agapitov. Eligible if you hold any OUT NFT from the designated collection in your wallet on February 1, 2025, at 9:00 AM PT.

    March 2025:

    • Video game surprise and in-game items bundle. Eligible if you hold any OUT NFT from the designated collection in your wallet on March 1, 2025, at 9:00 AM PT.

    April 2025:

    • Free Orbs for Metasites and a special surprise. Eligible if you hold any OUT NFT from the designated collection in your wallet on April 1, 2025, at 9:00 AM PT.
    • 4.2.
  • Please allow up to ten (10) business days from Snapshot date to process your Reward delivery.

5. User Obligations

    5.1.
  • Users must ensure the information provided during registration and crypto-wallet connection is accurate and current.
    • 5.2.
  • Users are responsible for maintaining the confidentiality of their Xsolla Wallet details and for all activities under their account.
    • 5.3.
  • Users must comply with all applicable laws and regulations while using the Site and participating in the promotional program.

6. Linking Your Cryptocurrency Wallet

When you link your crypto-wallet, you understand and agree that you are solely responsible for maintaining the security of your wallet and your control over any wallet-related authentication credentials, private or public cryptocurrency keys, non-fungible tokens or cryptocurrencies that are stored in or are accessible through your wallet. Any unauthorized access to your crypto-wallet by third parties could result in the loss or theft of OUT NFTs and/or funds held in your wallet and any associated wallets, including any linked financial information such as bank account(s) or credit card(s). We are not responsible for managing and maintaining the security of your crypto-wallet nor for any unauthorized access to or use of your crypto-wallet. If you notice any unauthorized or suspicious activity in your cryptocurrency wallet that seems to be related to our Site, please notify us immediately at support@x.la.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL XSOLLA BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFIT OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM THESE TERMS, THE SITE, THE SITE CONTENT, YOUR PARTICIPATION IN PROMOTIONAL CAMPAIGN, THE SERVICES OR THIRD PARTY SITES AND PRODUCTS, OR FOR ANY DAMAGES RELATED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE AND EVEN IF XSOLLA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE SITE, THE SITE CONTENT, YOUR PARTICIPATION IN PROMOTIONAL CAMPAIGN, THE SERVICES OR THIRD PARTY SITES AND PRODUCTS ARE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA RESULTING THEREFROM.



NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, IN NO EVENT SHALL THE MAXIMUM AGGREGATE LIABILITY OF XSOLLA ARISING OUT OF OR IN ANY WAY RELATED TO THIS AGREEMENT, THE ACCESS TO AND USE OF THE SITE, THE SITE CONTENT, YOUR PARTICIPATION IN PROMOTIONAL CAMPAIGN, OUT NFTS, OR ANY XSOLLA SERVICES EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU HAVE PAID TO XSOLLA FOR THE SERVICES IN THE LAST TWELVE MONTHS OUT OF WHICH LIABILITY AROSE.

8. Amendments to the Terms

We reserve the right to:

  • modify, suspend, or terminate the promotional campaign and these Terms at any time without prior notice.
  • to change the Rewards mentioned in clause 4 anytime regarding its availability.

Changes will be communicated through the Users’ Xsolla Wallets.

9. Applicable Law

These Terms, its interpretation, and any disputes that arise hereunder shall be governed in all respects by the laws of the State of California, USA, without giving effect to any principles that may provide for the application of the law of another jurisdiction.
